Foundly provides its Services to users worldwide.

2. Eligibility

To use Foundly, you must:

• Be at least 13 years old, or the minimum legal age required in your jurisdiction.
• Have the legal capacity to enter into a binding agreement.
• Comply with all applicable laws.
• Provide accurate and complete registration information.

If you are using Foundly on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. User Accounts

4. Google Sign-In

Foundly allows users to sign in using Google.

By choosing Google Sign-In, you authorize Foundly to receive the information necessary to authenticate your account.

Your relationship with Google is governed by Google's own Terms and Privacy Policy.

5. Subscriptions

Certain Foundly features require an active paid subscription.

Subscriptions provide access to the features described on our Pricing page.

Subscription benefits may change over time as Foundly evolves.

We reserve the right to add, modify, improve, or discontinue platform features at any time.

6. Billing

Subscriptions are billed in advance on either a monthly or yearly basis depending on the plan selected.

Payments are processed securely through Dodo Payments.

By purchasing a subscription, you authorize Dodo Payments to charge your selected payment method according to your chosen billing cycle.

Prices displayed on our website are subject to change.

Price changes will not affect an active subscription until its next renewal.

7. Automatic Renewal

Unless canceled before the renewal date, subscriptions automatically renew at the end of each billing cycle.

The applicable subscription fee will be charged automatically using your selected payment method.

You may cancel your subscription at any time before renewal.

8. Cancellation

You may cancel your subscription whenever you choose.

After cancellation:

• Your subscription remains active until the end of the paid billing period.
• No additional charges will be made unless you subscribe again.
• Access to premium features ends after your subscription expires.

Deleting your account does not automatically cancel an active subscription.

Users are responsible for canceling their subscription before deleting their account.

9. Refunds

Refund requests are handled according to Foundly's Refund Policy.

Unless otherwise required by applicable law, subscription payments are generally non-refundable after the billing period has started.

If a refund is approved, it will be processed through the original payment method whenever possible.

10. Acceptable Use

You agree not to:

• Violate any applicable law.
• Use Foundly for fraudulent activities.
• Attempt to gain unauthorized access to our systems.
• Reverse engineer or attempt to extract our source code.
• Circumvent security measures.
• Distribute malware or harmful software.
• Interfere with the operation of the platform.

• Misrepresent your identity.
• Share accounts with others in violation of your subscription.

Failure to comply with these rules may result in suspension or permanent termination of your account without prior notice.

11. User Content

You retain ownership of any startup ideas, prompts, business descriptions, or other content you submit to Foundly.

By submitting content, you grant Foundly a limited license to process that content solely for the purpose of providing the requested Services.

You represent that you have the necessary rights to submit any content you provide.

You agree not to upload unlawful, infringing, or malicious content.

12. Artificial Intelligence

Certain Foundly features use artificial intelligence to generate startup research, validation reports, summaries, recommendations, and market insights.

AI-generated content is intended to assist decision-making and should not be interpreted as professional legal, financial, tax, accounting, or investment advice.

Users remain solely responsible for evaluating and verifying the information provided before making business decisions.

13. Startup Research and Reports

Foundly provides research reports, startup analysis, market insights, opportunity scores, revenue estimates, competitor analysis, trend information, and other research tools intended to assist users in evaluating business opportunities.

Our reports are generated using structured methodologies, publicly available information, artificial intelligence, and proprietary research workflows.

Although we strive to provide useful and reliable information, no report should be interpreted as a guarantee of future business performance or commercial success.

Users remain solely responsible for conducting their own due diligence before making business, financial, investment, hiring, legal, or strategic decisions.

14. No Professional Advice

The Services provided by Foundly are for informational and educational purposes only.

Nothing contained within the platform constitutes:

Nothing in these Terms transfers ownership of any Foundly intellectual property to you.

17. Limited License

• AI-generated outputs will be free of errors.
• Market estimates will prove correct.

Your use of the Services is entirely at your own risk.

23. Limitation of Liability

To the fullest extent permitted by applicable law, Foundly, its owners, affiliates, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the Services.

This limitation includes, without limitation:

• Investment losses

Whether based on contract, tort, negligence, strict liability, or any other legal theory, Foundly shall not be liable even if advised of the possibility of such damages.

To the maximum extent permitted by law, Foundly's total cumulative liability arising from or relating to the Services shall not exceed the total amount paid by you to Foundly during the twelve (12) months immediately preceding the event giving rise to the claim.

24. Indemnification

You agree to defend, indemnify, and hold harmless Foundly, its affiliates, directors, officers, employees, contractors, partners, licensors, and service providers from and against any claims, damages, liabilities, losses, expenses, and costs (including reasonable attorneys' fees) arising from:

• Dodo Payments

Your use of features provided by these third parties may also be subject to their own terms, privacy policies, and conditions.

Foundly is not responsible for the availability, content, security, or practices of third-party services.

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Panama, without regard to its conflict of law principles.

Nothing in these Terms limits any mandatory consumer protection rights that may apply under the laws of your country of residence.

28. Dispute Resolution

If a dispute arises between you and Foundly, both parties agree to first attempt to resolve the matter through good-faith negotiations.

If the dispute cannot be resolved informally, either party may pursue any remedies available under applicable law before the competent courts of the Republic of Panama, unless mandatory local laws require otherwise.

By using Foundly, you agree to receive communications electronically.

These communications may include:

Electronic communications satisfy any legal requirement that such communications be in writing.
